These Terms of Service (the “Terms”) form a binding agreement between you, or the entity you represent (“Customer,” “you”), and EactiveNet, Inc., a corporation operating the Ratel platform at getratel.com (“Ratel,” “we,” “us”). By accessing or using the Service you agree to these Terms. If you do not agree, do not use the Service.

1. Acceptance of these Terms

You accept these Terms by creating an account, clicking “Create Account,” deploying any workload, or otherwise accessing the Service. If you enter into these Terms on behalf of an organization, you represent that you have authority to bind that organization, and “you” refers to that organization.

2. Definitions

• “Service” means the Ratel multi-tenant platform, including the API gateway, compute, managed databases, MCP hosting, email infrastructure, dashboards, and all related software and websites.
• “Customer Content” means code, data, configurations, domains, and other materials you upload, deploy, or transmit through the Service.
• “Workspace” means an isolated tenant environment provisioned to you.
• “Plan” means the subscription tier you select (Sandbox, Professional, Enterprise, or a custom plan).

3. Accounts & eligibility

You must be at least 18 years old and capable of forming a binding contract. You are responsible for all activity under your account, for safeguarding your credentials and API tokens, and for promptly notifying us at [email protected] of any unauthorized use. You must provide accurate registration information and keep it current. One person or entity may not maintain multiple free accounts to circumvent usage limits.

4. The Service & license

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service during the term. We may modify, enhance, or discontinue features at any time. We reserve all rights not expressly granted.

5. Customer Content & responsibilities

You retain all ownership of Customer Content. You grant us a worldwide, royalty-free license to host, copy, transmit, cache, display, and process Customer Content solely as necessary to operate, secure, and improve the Service and to comply with law. You are solely responsible for Customer Content, for obtaining all rights and consents required to use it, and for maintaining your own backups. You represent that Customer Content and your use of the Service do not violate any law or third-party right.

6. Acceptable use

Your use of the Service is governed by our Acceptable Use Policy, which is incorporated by reference. Violations may result in immediate suspension or termination without refund.

7. Fees, billing & taxes

• Subscriptions are billed in advance on a recurring monthly basis and renew automatically until cancelled. Metered usage (e.g., network egress overages, vCPU-hours, additional database units) is billed in arrears.
• You authorize us and our payment processor (Stripe, Inc.) to charge your payment method for all fees. All fees are non-refundable except as expressly stated in our Refund Policy.
• Fees are exclusive of taxes; you are responsible for all applicable taxes other than taxes on our net income.
• We may change pricing on at least 30 days’ notice; changes take effect at your next renewal. Failure to pay may result in suspension and is a material breach.

8. Free tier, trials & administrator accounts

Free Sandbox and trial workspaces are provided “as is,” may carry reduced resource ceilings, and may be modified or discontinued at any time. Designated platform administrator accounts operated by EactiveNet, Inc. may be exempt from metering and billing for operational and development purposes; this exemption is internal to the operator and confers no rights on Customers.

9. Suspension & termination

We may suspend or terminate your access immediately if you (a) breach these Terms or the Acceptable Use Policy, (b) fail to pay, (c) create risk or legal exposure for us, or (d) engage in activity that may harm the Service or other customers. You may cancel at any time from your dashboard. Upon termination, your right to use the Service ceases and we may delete Customer Content after a reasonable retention window. Sections that by their nature should survive termination (including Fees, IP, Disclaimers, Limitation of Liability, Indemnity, and Governing Law) survive.

10. Intellectual property

The Service, including all software, designs, the Ratel name and logo, and documentation, is owned by EactiveNet, Inc. and its licensors and is protected by intellectual-property laws. You may not copy, modify, reverse engineer, resell, or create derivative works of the Service except as permitted by law. If you provide feedback, you grant us a perpetual, irrevocable, royalty-free license to use it without restriction.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EACTIVENET, INC. AND ITS AFFILIATES, OFFICERS, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). THESE LIMITATIONS APPLY EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

13. Indemnification

You will defend, indemnify, and hold harmless EactiveNet, Inc. from and against any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising from your Customer Content, your use of the Service, or your breach of these Terms.

14. Governing law & disputes

These Terms are governed by the laws of the State of Delaware, U.S.A., without regard to conflict-of-laws rules. The exclusive venue for any dispute is the state or federal courts located in Delaware, and you consent to personal jurisdiction there. You agree to first attempt to resolve any dispute informally by contacting [email protected]. To the extent permitted by law, any claim must be brought within one (1) year after it arises.

15. Changes & general provisions

We may update these Terms by posting a revised version with a new effective date; material changes will be notified by email or in-product notice. Continued use after changes take effect constitutes acceptance. If any provision is held unenforceable, the remainder remains in effect. These Terms, the Acceptable Use Policy, the Privacy Policy, and any order form constitute the entire agreement. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them to an affiliate or successor.
